These Terms of Use (“Terms”) govern your access to and use of the Lead Clickz™ website, SPARC™, Power Sparc X™, and related websites, software, applications, features, content, tools, and services operated by Lead Clickz™ (collectively, the “Services”).

By accessing or using the Services, creating an account, connecting a third-party account, purchasing services, or otherwise using Lead Clickz™, SPARC™, or Power Sparc X™, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

Lead Clickz™ is a marketing agency and the owner and operator of the Services.

Power Sparc X™ is a marketing intelligence and analysis platform operated by Lead Clickz™.

SPARC™ (Strategic Processing and Response Core) is the marketing intelligence system operating within Power Sparc X™ and related Lead Clickz™ services.

Lead Clickz™ may offer agency services, consulting, software access, data analysis, marketing recommendations, reports, integrations, and other services through these brands.

You must be legally capable of entering into a binding agreement to use the Services.

If you use the Services on behalf of a company, organization, client, franchise, location, or other entity, you represent that you have authority to act on behalf of that entity and bind it to these Terms where applicable.

Certain features may require an account.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You agree to provide accurate information and promptly notify Lead Clickz™ if you suspect unauthorized access or misuse.

You may not obtain or attempt to obtain access to another user's account without authorization.

Power Sparc X™ may allow users to connect accounts from Google and other supported third-party services.

You may connect only accounts, properties, profiles, locations, or data that you own or are legally authorized to access or manage.

By initiating a connection, you authorize Lead Clickz™ and Power Sparc X™ to access and process information made available through the permissions you grant for the purpose of providing the requested functionality.

You remain responsible for ensuring that you possess appropriate authorization to connect client or third-party accounts.

If you connect Google Business Profile information, you represent that you own the applicable Business Profile or have been authorized to manage or access it on behalf of the business owner.

Power Sparc X™ will use Google Business Profile API functionality only as permitted by Google's applicable terms, policies, permissions, and technical requirements.

Access to Google's services may change, become unavailable, or require additional authorization as determined by Google.

Lead Clickz™ is not Google and is not responsible for Google's services, availability, account decisions, suspensions, verification decisions, API changes, or policies.

YouTube. Power Sparc X™ uses YouTube API Services. By connecting a YouTube channel you agree to be bound by the YouTube Terms of Service and acknowledge the Google Privacy Policy. You represent that you own the channel or are authorized to manage it.

SPARC™ may analyze marketing information and generate explanations, recommendations, observations, reports, forecasts, comparisons, and suggested actions using software and artificial intelligence.

SPARC™'s output is intended to assist human decision-making.

SPARC™ does not guarantee that its analysis will always be complete, accurate, current, or appropriate for every business circumstance.

Users remain responsible for evaluating recommendations and deciding whether to act upon them.

Users may submit, upload, connect, or otherwise make information available to the Services.

You retain ownership of your content and business information.

You grant Lead Clickz™ a limited right to host, process, analyze, reproduce, transmit, and display that information as reasonably necessary to provide, secure, maintain, and support the Services.

You represent that you have the rights and permissions necessary to provide such information.

Lead Clickz™ and its licensors retain all rights in the Services and their proprietary materials, subject to rights expressly granted to users under these Terms.

This includes, as applicable, software, interfaces, designs, methodologies, written materials, reports, branding, graphics, databases, processes, and proprietary technology.

Lead Clickz™, SPARC™, and Power Sparc X™, together with associated names, logos, slogans, and brand elements, are claimed as trademarks or service marks of Lead Clickz™ and may not be used in a manner that falsely suggests sponsorship, affiliation, authorization, or endorsement.

Nothing in these Terms transfers ownership of Lead Clickz™ intellectual property to the user.

The Services may interact with third-party platforms.

Third-party services are governed by their own terms, policies, technical limitations, and availability.

Lead Clickz™ cannot guarantee that any third-party integration will remain continuously available.

A third-party provider may change, limit, suspend, or discontinue API functionality without Lead Clickz™'s control.

Certain Services may require payment or a subscription.

Prices, billing periods, usage limits, included features, cancellation terms, and other commercial conditions will be disclosed when the applicable service or subscription is purchased.

Unless otherwise required by law or expressly stated in writing, fees already earned or incurred are non-refundable.

Additional agency services may be governed by separate agreements, proposals, statements of work, or service terms.

Lead Clickz™ may modify, add, remove, suspend, or discontinue features of the Services.

This may be necessary because of product development, security requirements, legal obligations, third-party API changes, platform policies, or other operational reasons.

Where reasonably appropriate, Lead Clickz™ may provide notice of material changes affecting paid Services.

To the extent permitted by law, the Services are provided on an “as is” and “as available” basis.

Lead Clickz™ does not warrant that the Services will be uninterrupted, error-free, completely secure, or free from third-party interruptions.

Information and recommendations provided through SPARC™ or Power Sparc X™ should be evaluated in light of the user's own business circumstances.

To the maximum extent permitted by applicable law, Lead Clickz™ will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the Services, including lost profits, lost revenue, lost business opportunities, loss of data, or interruption of business.

Nothing in these Terms excludes liability that cannot legally be excluded.

To the extent permitted by law, you agree to indemnify and hold harmless Lead Clickz™ and its owners, officers, employees, contractors, and agents from claims, losses, liabilities, and reasonable expenses arising from your misuse of the Services, violation of these Terms, infringement of another person's rights, or unauthorized connection or use of third-party accounts.

Use of personal information and connected-account information is governed by the Lead Clickz / SPARC™ / Power Sparc X™ Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute shall be handled in an appropriate court with jurisdiction in Texas unless another written agreement between the parties provides otherwise or applicable law requires a different forum.

Lead Clickz™ may update these Terms from time to time.

The current version will display the date of the latest update. Continued use of the Services following the effective date of revised Terms constitutes acceptance where permitted by law.
